Typical loan terms

Every loan is priced on the stock itself. Most loans fall within these ranges, and you get your exact terms in writing before you commit.

Loan size

$50K to $5MM

Depending on the size of your position.

Cash you receive

30 to 50%

Of your shares' market value. More for heavily traded stocks.

Interest

5 to 7%

A year, simple and fixed. Interest only, paid quarterly.

Term

3 years

Repay early from year two if you want to.

Collateral

Your shares only

No credit check and no personal guarantee.

Upside

Yours to keep

If the stock rises during the loan, you benefit when you repay and get your shares back.

What happens if the stock falls

Time to top up

If the stock drops 25% below the level your loan closed at, you get an equity call: 5 to 10 business days to top up with cash, stock or other securities.

Walk away owing nothing

If you'd rather not top up, the loan closes. You keep the cash, the lender keeps the shares, and you owe nothing further.

Nothing else at risk

No personal guarantee and no credit check. Your home, your savings and your credit are never part of the deal.

What borrowers say

“I needed quick cash, so I put up some shares for a loan. About a week later the funds hit my account. Simple, straightforward, and the terms aren’t toxic.”
Biotech microcap CEO
“Neither my broker nor my bank would lend against my penny stock. I got the loan with no problems. The terms were very fair, and I still keep the upside if the stock goes up.”
Executive, small mining company
“I needed cash but didn’t want to sell my shares or lose the upside. I put up my shares and the deal was done. The cash hit my account about 10 days later and the terms were simple. Would recommend.”

Questions people ask us first

Will my shares qualify?

Most do if the stock trades around 100,000 shares a day or more, and the shares are free trading, eligible for resale under Rule 144, or registered. Stocks trading under about 10,000 shares a day usually don't qualify. The lender can take up to 4.99% of a company's outstanding shares.

What happens to my shares during the loan?

They move to the lender's custody account for the life of the loan. Taking the shares as collateral is what lets the lender skip the credit check and the personal guarantee. When you repay, your shares are returned.

What if the stock goes up?

You keep the upside. When you repay the loan, your shares come back to you, so you benefit from any rise in the meantime. The exact terms are in your term sheet before you sign anything.

Can I repay early?

Yes, from month 24. Repaying before then carries a prepayment penalty.

Is the loan taxable?

It can be. Depending on how the loan is structured and where you live, transferring shares to a lender can be a reportable tax event. Talk to your tax adviser before you sign. We don't give tax advice.

I'm an officer or director. What do I need to know?

Your shares need to be registered for resale. If you file Form 4s for your company, expect to report the loan too. And check your company's insider trading policy, since some restrict pledging shares. Your company's counsel can confirm all three.

Who is the lender?

An independent US family office that has made non-recourse stock loans since 2006 and funded more than $100MM. We introduce you, prepare your file and stay with you through closing. The lender makes the credit decision and funds the loan.

What does it cost?

Interest of 5 to 7% a year, simple, fixed for the term and paid quarterly. Any fees are listed on your term sheet before you sign.
